FOOTBALL WAGGA WAGGA
 
WAGGA WAGGA AND DISTRICT
AMATEUR FOOTBALL ASSOCIATION INCORPORATED
 
ARTICLES OF ASSOCIATION
 
1.      Name
 
The Association shall be known as the Wagga Wagga and District Amateur Football Association Incorporated (hereafter called Football Wagga Wagga).
 
2.      Objectives
 
The objectives of Football Wagga Wagga shall be to develop, promote and co-ordinate the game of football generally and in the Wagga Wagga District particularly.
 
3.      Affiliation
 
3.1         Football Wagga Wagga will be affiliated with Football New South Wales Limited and with such other organisations as appropriate when it is deemed to be in the best interests of football generally and Football Wagga Wagga in particular.
3.2         Affiliation with Football Wagga Wagga may be granted to any organisation when such affiliation is deemed to be in the best interests of football generally and Football Wagga Wagga in particular.
3.3         Football Wagga Wagga may co-operate without affiliation with any organisation for the promotion of football generally and Football Wagga Wagga in particular.
3.4         Any affiliation that Football Wagga Wagga maintains can be suspended or terminated when such action is deemed to be in the best interests of football generally and Football Wagga Wagga in particular.
3.5         Affiliation with Football Wagga Wagga by any body will be conditional upon that body accepting the powers contained in these Articles of Association of Football Wagga Wagga.
 
 
4.      Membership
 
4.1     The members of Football Wagga Wagga shall be comprised of the members of Wagga Wagga and District Amateur Football Association immediately prior to incorporation.
4.2         A person who is a natural person is qualified to be a member of Football Wagga Wagga if, but only if:
(a)     they are a member by virtue of clause (1);
(b)     they are a member of a duly recognised affiliate and have been nominated by that affiliate, or affiliates as appropriate, as an officer of Football Wagga Wagga in accordance with Rule 5;
(c)     they have been nominated by an affiliate of Football Wagga Wagga to be a delegate of that affiliate to Football Wagga Wagga (in accordance with Rule 14.2(h), and have been approved for membership of Football Wagga Wagga by the Committee of Football Wagga Wagga.
4.3     Notwithstanding anything in this clause, total membership of Football Wagga Wagga is restricted to that number of persons sufficient to fill all official positions of Football Wagga Wagga as may exist from time to time, plus such number as to provide for three (3) delegates nominated by each affiliate (in accordance with Rule 14.2(h) as may exist from time to time.
4.4         Membership will not be available to any person or persons where the granting of membership would cause any one (1) affiliate to have 50% of the membership of Football Wagga Wagga.
 
 
4.5         Nothing in this clause is to be interpreted so as to exclude the attendance of interested persons from the meetings or activities of Football Wagga Wagga, but such person’s attendance and participation is at the discretion of Football Wagga Wagga and such persons will not be accorded the privileges accorded Football Wagga Wagga members.
         4.6     A right, privilege or obligation which a person has by reason of being a member of Football Wagga Wagga:
(a)     is not capable of being transferred or transmitted to another person;
(b)     terminates upon cessation of the person’s membership.
 
   4.7        (a) A member of Football Wagga Wagga is not entitled to resign that membership except in accordance with this rule.
(b) A member of Football Wagga Wagga who has paid all amounts payable by the member to Football Wagga Wagga in respect of the member’s membership, may resign from membership of Football Wagga Wagga by first giving notice (being not less than one (1) month or not less than such other period as the committee may determine) in writing to Football Wagga Wagga of the member’s intention to resign and, upon the expiration of the period of notice, the member ceases to be a member.
      (c) Where a member of Football Wagga Wagga ceases to be a member pursuant to clause (b), and in every other case where a member ceases to hold membership, the minute secretary shall make an appropriate entry in the register of members recording the date on which the member ceased to be a member.
 
 
5.      Nomination for Membership
 
5.1     Nominations for membership of Football Wagga Wagga may only be accepted from affiliates to Football Wagga Wagga.
5.2     Nominations for membership of Football Wagga Wagga can only be accepted:
(a)     for a position as an officer of Football Wagga Wagga:
(i)                   prior to, and in accordance with, the procedures laid down for the annual general meeting of Football Wagga Wagga, when all positions are declared vacant;
(ii)                 when a vacancy occurs as anticipated in Rule 6.
(b)     for the position of affiliate delegate, when that affiliate’s delegate’s position becomes vacant.
 
6.      Cessation of Membership
 
         A person ceases to be a member of Football Wagga Wagga when that person:
(a)     dies;
(b)     resigns from that membership;
(c)     is expelled from Football Wagga Wagga
(d)     absents him/herself from two (2) consecutive meetings of Football Wagga Wagga without reasonable cause (as determined by the executive of Football Wagga Wagga).
 
 
7.      Public Officer of Football Wagga Wagga:
 
7.1     Notice of appointment.
 
A new public officer must lodge a notice of vacancy/appointment/change of address of public officer (Form 9) notifying of their appointment, within 14 days of the appointment
 
7.2    Register of committee members.
The register of committee members of the association is to be kept at the residential address of the public officer and must be made available for inspection by any person, free of charge,at all reasonable hours. 
Where an incorporated association has ceased to exist, the last public officer must keep the register for a period of at least 2 years after the date on which the association ceased to exist.
7.3    Notice of change of address
Where a public officer changes his or her address, the public officer must give the Registry notice within 14 days by lodging a notice of vacancy/appointment/change of address of public officer (Form 9)
7.4    Annual statements
The public officer must lodge an Annual statement (Form 12), with the prescribed fee, within one month after the date of each annual general meeting of the association. The statement is a summary of the year’s financial transactions. A penalty may be imposed on the public officer for failure to lodge the form in the required time. If the public officer is not able to lodge the annual statement in time, an application for extension of time for holding annual general meeting or lodging statement  (Form 11) setting out the reasons for the delay should be lodged, with the prescribed fee, before the due date.
7.5    Change of name of the association
The public officer must apply to the Commissioner for Fair Trading for approval of a change of name within one month after the passing of a special resolution to change the association’s name. An application for approval for change of name (Form 4) must be lodged, together with the prescribed fee (section 14).
7.6     Alteration of objects or rules
After the passing of a special resolution altering the statement of objects or rules of an incorporated association, the public officer must lodge a notice of alteration of objects or rules (Form 6), with the prescribed fee, setting out the particulars of the alteration. A penalty may be imposed on the public officer for failure to lodge the form in the required time.
7.7     Receiving documents on behalf of the association 
The public officer has an obligation to bring all documents addressed to the association to the attention of the committee as soon as practicable. This obligation continues for a period of 12 months after a person has ceased to be the public officer of the association.
 
8.  Fees, Subscriptions etc
 
8.1     A member of Football Wagga Wagga shall, upon admission to Football Wagga Wagga membership, pay to Football Wagga Wagga, within 28 days, a fee of $1, or where some other amount is determined by Football Wagga Wagga, of that other amount.
8.2         In addition to any amount payable by the member under clause (1), a member of Football Wagga Wagga shall pay to Football Wagga Wagga, within 28 days, an annual membership of $2, or where some other amount is determined by Football Wagga Wagga, of that other amount:
(a) except as provided by paragraph (b), before 1st January in each calendar year; or
                     (b) where the member becomes a member on or after 1st January in any calendar year, upon becoming a member, and before the 1st January in each succeeding calendar year.
8.3     Affiliates to Football Wagga Wagga, as appropriate, will be required to pay a registration fee to Football Wagga Wagga, with the level of such fees to be determined at the appropriate general meeting.
8.4         Football Wagga Wagga may levy such fees and fines, as appropriate, upon any affiliates to Football Wagga Wagga for such reason and in such manner as it deems fit.
8.5         Football Wagga Wagga is empowered to secure such donations and such sponsorship as it deems fit.
 
9.      Member’s Liabilities
        
      9.1     The liability of a member of Football Wagga Wagga to contribute towards the payment of the debts and liabilities of Football Waga Wagga, of the costs, charges and expenses of the winding up of Football Wagga Wagga, is limited to the amount, if any, unpaid by the member in respect of membership of Football Wagga Wagga as required in Rule 8.
9.2         Football Wagga Wagga, or any member of Football Wagga Wagga, has no liability to any affiliate to Football Wagga Wagga, and the giving of a donation, if any, to any affiliate to Football Wagga Wagga, cannot be construed as an admission of such liability.
 
 
9A.    Resolution of Internal Disputes
 
Disputes between members (in their capacity as members) of football Wagga Wagga, and disputes between members and Football Wagga Wagga are to be referred to a Community Justice Centre for mediation in accordance with the Community Justice Centre’s Act 1983.
 
10.     Disciplining of Members
 
10.1   Where the committee is of the opinion that a member of Football Wagga Wagga:
(a) has persistently refused or neglected to comply with a provision or provisions of these rules; or
(b) has persistently and wilfully acted in a manner prejudicial to the interests of Football Wagga Wagga, the committee may, by resolution:
(i)                   expel the member from Football Wagga Wagga;
(ii)                 suspend the member from membership of Football Wagga Wagga for a specified period; or
(iii)                take such action as deemed appropriate in the circumstances.
10.2   For the purpose of this rule, and in accordance with Rule 3.5, any affiliate to Football Wagga Wagga can similarly be disciplined under the provisions of this rule.
10.3            A resolution of the committee under clause (1) of this section is of no effect unless the committee, at a meeting held not earlier than 14 days and not later than 28 days after the service on the member (or affiliate as appropriate) of a notice under clause (4) confirms the resolution in accordance with this rule.
 
 
10.4   Where the committee passes a resolution under clause (1), it shall, as soon as practicable, cause a notice in writing to be served on the member (or affiliate as appropriate):
                     (a   ) setting out the resolution of the committee and the grounds on which it is based;
            (b) stating that the member (or affiliate as appropriate) may address the committee at a meeting to be held not earlier than 14 days and not later than 28 days after service of the notice;
      (c) stating the date, place and time of that meeting;
(d) informing the member (or the affiliate as appropriate) that the member may do   either or both of the following:
(i)            attend and speak at the meeting;
(ii)                 submit to the committee, at or prior to the meeting, written representation relating to the resolution.
10.5   At a meeting of the committee held as referred to in clause (4), the committee shall:
(a)     give the member (or affiliate as appropriate) an opportunity to make oral representations;
(b)     give due consideration to any written representations submitted to the committee by the member (or affiliate as appropriate) at or prior to the meeting;
(c)     by resolution, determine whether to confirm or to revoke the resolution.
10.6   Where the committee confirms the resolution under clause (5), it shall, within 7days after confirmation, by notice in writing, inform the member (or affiliate as appropriate) of the fact and of the member’s right of appeal under Rule 11.
10.7   A resolution confirmed by the committee under clause (5) does not take effect;
(a) until the expiration of the period within which the member (or affiliate as appropriate) is entitled to appeal against the resolution, where the member does not exercise the right of appeal; or
(b) where within that period the member exercises the right of appeal, unless and until Football Wagga Wagga confirms the resolution pursuant to Rule 11.4
 
 
11.     Right of Appeal of Disciplined Member
 
11.1      A member may appeal to Football Wagga Wagga at a general meeting, against a resolution of the committee which is confirmed under Rule 10.5, within 7 days after notice of the resolution is served on the member, by lodging with Football Wagga Wagga a notice to that effect.
11.2      Upon receipt of a notice from a member under clause (1), the committee shall convene a general meeting of Football Wagga Wagga, to be held within 21 days after the date on which the notice was received.
11.3      At a general meeting of Football Wagga Wagga convened under clause (2):
                     (a) no business other than the question of the appeal shall be transacted;
(b) the committee and the member shall be given the opportunity to state their respective cases orally or in writing, or both;
(c) the members present shall vote by secret ballot on the question of whether the resolution should be confirmed or revoked.
11.4   If at the general meeting Football Wagga Wagga passes a special resolution in favour of the confirmation of the resolution, the resolution is confirmed.
11.5   In this rule, any reference to a member of Football Wagga Wagga may be interpreted to mean an affiliate of Football Wagga Wagga by virtue of Rule 3.5.
 
12.     Powers etc. of Committee
 
The committee shall be called Committee of Management of Football Wagga Wagga and, subject to the Act, the Regulation and these rules, and to any resolution passed by Football Wagga Wagga at a general meeting:
      (a) shall control and manage the affairs of Football Wagga Wagga;
                     (b) may exercise all such functions as may be exercised by Football Wagga Wagga;
                     (c) has power to perform all such acts and do all such things as appear to the committee to be necessary or desirable for the proper management of the affairs of Football Wagga Wagga.
 
 
12A. Delegation by Committee to Sub-Committee
 
            12A.1    The committee may, by instrument in writing, delegate to one or more sub-committees (consisting of such member or members of Football Wagga Wagga as the committee thinks fit) the exercise of such of the functions of the committee as are specified in the instrument, other than:
   (a) this power of delegation; and
(b) a function which is a duty imposed on the committee by the Act or by any other law.
         12A.2    A function, the exercise of which has been delegated to a sub-committee under this rule may, while the delegation remains unrevoked, be exercised from time to time by the sub-committee in accordance with the terms of the delegation.
            12A.3    A delegation under this section may be made subject to such conditions or limitations as to the exercise of any function the subject thereof, or as to time or circumstances, as may be specified in the instrument of delegation.
          12A.4    Notwithstanding any delegation under this rule, the committee may continue to exercise any function delegated.
          12A.5    Any act or thing done or suffered by a sub-committee acting in the exercise of a delegation under this rule has the same force and effect as it would have if it had been done or suffered by the committee.
            12A.6    The committee may, by instrument in writing, revoke wholly or in part, any delegation under this rule.
         12A.7    A sub-committee may meet and adjourn as it thinks proper.
 
13.     Constitution and Membership
 
13.1      Subject in the case of the first members of the committee to section 21 of the Act, the committee shall consist of:
(a)     the office bearers of Football Wagga Wagga; and
(b)     such number of affiliate delegates so as to equal three (3) delegates from each affiliate (in accordance with Rule 14.2(h), who has been accepted as an affiliate to Football Wagga Wagga in accordance with Rule 3 of these Articles of Association.
13.2   The office bearers of Football Wagga Wagga shall be:
(a)     President
(b)     Senior Vice President
(c)     Junior Vice President
(d)     Minute Secretary
(e)     Treasurer
(f)Recorder / Statistician
(g)     Property Officer
(h)     The Delegates of Affiliates as per clause (1b)
( j ) General Committee
13.3   Each member of the committee shall, subject to these rules, hold office until the conclusion of the annual general meeting following the date of the member’s election, but is eligible for re-election.
13.4 In the event of a casual vacancy occurring in the membership of the committee, the committee may appoint a member of Football Wagga Wagga to fill the vacancy and the member so appointed shall hold office, subject to these rules, until the conclusion of the annual general meeting next, following the date of appointment.
 
 
14.  Election of Members
 
14.1      (a) Nominations of candidates for election as office bearers of the committee of Football Wagga Wagga:
(i)                   shall be made in writing, signed by two (2) members of Football Wagga Wagga and accompanied by the written consent of the candidate (which may be endorsed on the form of nomination); and
(ii)                 shall be delivered to the committee of Football Wagga Wagga not less than 21 days before the date fixed for the holding of the annual general meeting at which the election is to take place.
(b) If insufficient nominations are received to fill all vacancies on the committee, the candidates nominated shall be deemed to be elected and further nominations shall be received at the annual general meeting.
(c)     If insufficient further nominations are received, any vacant positions remaining on the committee shall be deemed to be casual vacancies.
(d)     If the number of nominations received is equal to the number of vacancies to be filled, the persons nominated shall be deemed to be elected.
(e)     If the number of nominations received exceeds the number of vacancies to be filled, a ballot shall be held.
(f)      The ballot for the election of office bearers of the committee shall be conducted at the annual general meeting in such usual and proper manner as the committee may direct.
(g)     A nomination of a candidate for election under this clause is not valid if that candidate has been nominated for election to another office at the same election.
(h)     Affiliates must nominate three (3) delegates (in accordance with rule 14.2(h) to the committee within two (2) weeks of Football Wagga Wagga’s annual general meeting.
 
14.2   Duties of Football Wagga Wagga’s office bearers shall be:
 
(a) PRESIDENT
·         Assist the other officers in their duties;
·         Be an active member of the Football Wagga Wagga management team to enhance the quality of football in the Association.
·         Represent the Association to the community.
·         Liaise with the Media as required.
·         Liaise with the Referees Council as required.
·         Work closely with the Executive Officer with issues related to the association.
·         Organise club visits with the Senior and Junior Vice Presidents to seek feedback at the completion of each season.
·         Chair meetings
·         He/she shall have a casting vote only when acting as chairperson, but at all other times shall have a  
                      Deliberate vote;
 
 
 (b) SENIOR VICE PRESIDENT
·         Assist the other officers in their duties;
·         Be an active member of the Football Wagga Wagga management team to enhance the quality of football in the Association.
·         Chair meetings in the Presidents absence.
·         Work closely with the Executive Officer with issues related to the senior competition.
·         Along with the Executive Officer liaise closely with Wagga Wagga City Council re the development of playing surfaces in Wagga Wagga along with planning the training needs of the senior competition and individual clubs.
·         Be available to assist the President in seeking feedback from the clubs regarding the competition season.
·         Be available to be part of all Disciplinary Board hearings for Football Wagga Wagga and be available to assist in Riverina or State Disciplinary appeals.
·         Undertake field inspections as required to determine general playing conditions liaising with the Executive Officer re the above.
·         Make sure that the equipment provided by Football Wagga Wagga for the respective grounds is maintained to appropriate standard.
·         Maintenance Officer for Football Wagga Wagga repairing or arranging repairs as required.
·         Assist with the organising of setting up fields at the commencement of each season and dismantling at the end of each season.
·         Chairman and organiser of Disciplinary Board personal and venues liaising closely with the Executive Officer as well as producing the appropriate written documentation of hearings.
·         Assist with the organisation of Senior Invitational teams.
                     
 
 
 (c) JUNIOR VICE PRESIDENT
·         Assist the other officers in their duties
·         Be an active member of the Football Wagga Wagga management team to enhance the quality of football in the Association.
·    Chair meetings in the President and Senior Vice Presidents absence.
·         Work closely with the Executive Officer with issues related to the junior competition.
·         Be available to assist the President in seeking feedback from the clubs regarding the competition season.
·         Be available to be part of all Disciplinary Board hearings for Football Wagga Wagga and be available to assist in Riverina or State Disciplinary appeals.
 
·         In the Senior Vice Presidents absence is Chairman and organiser of Disciplinary Board personal and venues liaising closely with the Executive Officer as well as producing the appropriate written documentation of hearings.
·         Assist with the organisation of Junior Representative Team trials.
·         Be available to represent Football Wagga Wagga at Football Riverina.
           
   (d) MINUTE SECRETARY
·         Assist the other officers in their duties;
·         Be an active member of the Football Wagga Wagga management team to enhance the quality of football in the Association.
·         Circulate minutes of all meetings to the Executive Officer within 14 days of each Football Wagga Wagga meeting
·         Keep a record of attendances at all meetings of Football Wagga Wagga for inclusion in the minutes.
              
    (e) TREASURER
·         Assist the other officers in their duties
·         Be an active member of the Football Wagga Wagga management team to enhance the quality of football in the Association.
·         Receive all monies and issue official receipts for same;
·         Bank all monies received in a bank approved by Football Wagga Wagga;
·         Produce all financial statements at each general meeting;
·         Pay all accounts passed for payment and signed by an Executive Committee member or the Executive Officer.
·         Prepare an annual budget and financial statement for submission at the annual general meeting;
·         Arrange for the audit of Football Wagga Wagga’s financial affairs as provided for in these rules.
 
 
       (f) RECORDER / STATISTICIAN
·         Assist the other officers in their duties
·         Be an active member of the Football Wagga Wagga management team to enhance the quality of football in the Association.
·         Record results of all games
·         Record player information
·         Record player suspensions and cautions
·         Arrange an up to date points table for all senior and junior competitions co-ordinated by Football Wagga Wagga.
·         Work closely with the Executive Officer with issues relating to player suspensions, unregistered players.
                 
      
        (g) PROPERTY OFFICER
·         Assist the other officers in their duties;
·       Be an active member of the Football Wagga Wagga management team to enhance the quality of football in the Association.
·         Keep and maintain an inventory of all Football Wagga Wagga’s property
·         Assume responsibility for all property and equipment owned by Football Wagga Wagga;
·         Report any loss or damage of equipment owned by Football Wagga Wagga.
 
        (h) DELEGATES OF AFFILIATES
Each affiliate, accepted to Football Wagga Wagga in accordance with Rule 3, shall nominate a delegate who shall attend all meetings of Football Wagga Wagga and vote in accordance with the wishes of that affiliate, or, if not specifically instructed, in a manner he/she deems to be in the best interests of the affiliate and football generally. Two alternate delegates shall be nominated by each affiliate, either of which shall attend any meeting that the first nominated delegate is unable to attend. Failure to have a delegate present at any duly constituted meeting of Football Wagga Wagga may attract a fine of $50.
 
 
         (i) ASSOCIATION DELEGATES
Such number of delegates as necessary are required to represent Football Wagga Wagga at meetings of affiliated bodies. Such elected delegates shall vote at such affiliate meetings, when voting power is available, as instructed by Football Wagga Wagga, or if not specifically instructed, in a manner he/she deems to be in the best interests of Football Wagga Wagga.
 
         (j) GENERAL COMMITTEE
·         Assist the other officers in their duties;
·       Be an active member of the Football Wagga Wagga management team to enhance the quality of football in the Association.
 
 
14.3      When possible, and subject to ratification by a general meeting, or an executive recommendation in this regard, reasonable expenses incurred by any committee member in the discharge of their duties, may be reimbursed in whole or in part by Football Wagga Wagga. Claims under this clause must be made in writing to Football Wagga Wagga as soon as possible after any expenditure for which reimbursement is being sought has been made.
 
      
 
 
15.A  Executive Committee of Football Wagga Wagga
 
       15A.1   The Executive Committee of Football Wagga Wagga shall consist of President, Senior Vice   
          President, Junior Vice President, Minute Secretary, Treasurer.
       15A.2   The Executive Committee shall meet as directed by the President / Executive Officer or when so   
          requested in writing by three committee members;
       15A.3   The quorum for Executive meetings shall be three (3) and these officers are empowered, in the  
                    case of emergency, to initiate or confirm or to determine such actions they deem to be in the  
                        best interests of Football Wagga Wagga and football generally.Clubs must be notified of any such  
                  actions at the next general meeting of Football Wagga Wagga
         15A.4   The Executive Committee shall appoint a Disciplinary and Protest Committee.
        15A.5 The Executive Committee shall appoint an Executive Officer.
        15A.6 The Executive Committee shall appoint a Public Officer.
     
 
 
       15.B    General Committee of Football Wagga Wagga.
 
        15B.1  The General Committee of Football Wagga Wagga (to be also known as the FWW Management   
                 Committee) shall consist of Recorder / Statistician, Property Officer.
 
        15B.2   The number of members of the general committee, excluding 15B.1, shall not exceed the number
                 of the executive committee, not included is casual vacancy positions.
 
      
       15C    FWW Referees Standing Committee and FWW Referees Branch
 
       15C. 1. The FWW Referees Standing Committee shall be formed as a Standing Committee of the FWW    Board. The Committee will have six (6) members appointed by the FWW Board. 3 shall be nominees of FWW and three shall be members of the FWW Referees Branch. The Board shall appoint one of the FWW nominees as Chair of the Standing Committee
                   The Standing Committee will be responsible for the creation of policy, management and provision of all referee services FWW.
 
       15C. 2. Under this Standing Committee FWW will create the FWW Referees Branch.
                   This entity will, under the FWW constitution, be an independent sub-committee of FWW albeit with its own rules and regulations. These rules and regulations are, in all material respects, identical to the standard rules that currently apply to other referee branches.
 
       15C. 3. Individual referees will be members of this sub-committee ie “The FWW Referees Branch”.
 
       15C. 4. The six members of the Referees Standing Committee will be initially appointed by the Board of the FWW and each appointee will have a term of office of two (2) years. Three (3) members will be selected from the FWW community, one of whom will be appointed as Chair, whilst the other three (3) members will be selected from the ranks of senior referees of the FWW Referees Branch.
 
                    After the initial two (2) year term of the FWW Referees Standing Committee, the FWW Referees Branch will nominate its three (3) representatives for the Standing Committee to the FWW Board. These nominations are subject to the approval of the FWW Board.
 
      15C. 5. The FWW Referees Branch will be governed by a set of standard rules and will be responsible for:
 
    (a) Appointments of suitably qualified referees to FWW matches within broad parameters set down by the
         FWW Referees Standing Committee;
 
    (b) Coaching, training and the assessment of the standing of referees;
 
    (c) Managing discipline of referees by way of an initial hearing and appeal process
 
    (d) Compliance with the policies and levels of service set by the FWW Referees Standing Committee
 
 
16.     Annual General Meeting
 
            16.1   Football Wagga Wagga must, at least once in each financial year and within the period of 6 months after the expiration of each financial year of Football Wagga Wagga, convene an annual general meeting of its members.
16.2   In addition to any other business which may be transacted at an annual general meeting, the business of an annual general meeting shall be:
(a)     reading and confirmation of the minutes of the previous annual general meeting;
(b)     reading and adoption of the President’s report;
(c)     reading and adoption of the Treasurer’s report and presentation of the following annual budget;
(d)     consideration of honorariums, if appropriate, for office bearers of Football Wagga Wagga;
(e)     the declaration of vacant offices on the committee of Football Wagga Wagga, and selection of a returning officer;
(f)      the election of the committee of Football Wagga Wagga for the period until the next annual general meeting, with nominations having previously satisfied the provisions of Rule 4 and Rule 5 and clause (4) of this rule. The order of election of officers shall be that of the order listed in Rule 14;
(g)     election of Life Members with nominations having previously satisfied the provisions of Rule 35;
(h)     the consideration of any proposed amendments to Football Wagga Wagga’s Articles of Association or Competition Rules, provided appropriate notice of such amendments or additions has been given in accordance with clause (4);
(i)       general business, for which appropriate notice in accordance with these rules has been given;
(j)       to receive and consider the statement which is required to be submitted to members pursuant to Section 26(6) of the Association’s Incorporation Act.
 
16.3   An annual general meeting shall be specified as such in the notice convening it.
16.4   Twenty eight (28) days notice of annual general meetings shall be given to all members of Football Wagga Wagga, and such notice shall call for nominations for officers of Football Wagga Wagga, and for any resolutions to be put, in accordance with clause 2(h). Within 14 days of the annual general meeting, Football Wagga Wagga will provide all members with a written agenda, detailing the order of business, nominations for officers of Football Wagga Wagga, and such resolutions and general business to be transacted.
         16.5   Only business included on the agenda may be dealt with at an annual general meeting.
16.6   The voting rights at annual general meetings shall be:
(a) one (1) vote per retiring member present, except that each affiliate to Football Wagga Wagga will have two (2) votes;
(b) the retiring President shall have a casting vote.
16.7   The quorum for an annual general meeting shall be fifty per cent (50%) of members, such number to include fifty per cent (50%) of affiliates to Football Wagga Wagga.
 
 
17.     Special General Meetings – Calling Of
 
17.1      The committee may, whenever it thinks fit, convene a special general meeting of Football Wagga Wagga.
17.2      The committee shall, on the requisition in writing of not less than five (5) members of Football Wagga Wagga, convene a special meeting of Football Wagga Wagga.
17.3      A requisition of members for a special meeting:
(a)     shall state the purpose or purposed of the meeting;
(b)     shall be signed by the members making the requisition;
(c)     shall be lodged with Football Wagga Wagga; and
(d)     may consist of several documents in a similar form, each signed by one or more of the members making the requisition.
17.4      If the committee fails to convene a special general meeting, to be held within a month after the date on which a requisition of members for the meeting is lodged with Football Wagga Wagga, any one or more of the members who made the requisition may convene a special general meeting, to be held not later than three (3) months after that date.
17.5      A special general meeting convened by a member or members as referred to in clause (4) shall be convened as nearly as is practicable in the same manner as general meetings are convened by the committee and any member who thereby incurs expense is entitled to be reimbursed by Football Wagga Wagga for any expenses so incurred.
 
18.   Notice
 
18.1      Except where the nature of the business proposed to be dealt with at a general meeting     requires a special resolution of Football Wagga Wagga, the committee shall, at least 14 days before that date fixed for the holding of the general meeting, cause to be sent by prepaid post to each member at the member’s address appearing in the register of members, a notice specifying the place, date and time of the meeting and the nature of the business proposed to be transacted at the meeting.
18.2      Where the nature of the business proposed to be dealt with at a general meeting requires a        special resolution of Football Wagga Wagga, the committee shall, at least 21 days before the date fixed for the holding of the general meeting, cause notice to be sent to each member in the manner provided in clause (1) specifying, in addition to the matter required under clause (1), the intention to propose the resolution as a special resolution.
18.3      No business other than that specified in the notice convening a general meeting shall be transacted at the meeting except, in the case of an annual general meeting, business that may be transacted pursuant to Rule 16(2).
18.4      A member desiring to bring any business before a general meeting may give notice in writing of that business in the next notice calling a general meeting given after receipt of the notice from the member.
 
 
19.     Procedure
 
19.1      No item of business shall be transacted at a general meeting unless a quorum of members entitled under these rules to vote is present during the time the meeting is considering that item.
19.2      Eight (8) members present in person (being members entitled under these rules to vote at a general meeting) constitute a quorum for the transaction of the business of a general meeting.
19.3      If within half and hour after the appointed time for the commencement of a general meeting a quorum is not present, the meeting, if convened upon the requisition of members, shall be dissolved and in any other case shall stand adjourned to the same day in the following week at the same time and (unless another place is specified at the time of adjournment by the person presiding at the meeting or communicated by written notice to members given before the day to which the meeting is adjourned) at the same place.
19.4      If at the adjourned meeting a quorum is not present within half and hour after the time appointed for the commencement of the meeting, the members present (being not less than three (3) shall constitute a quorum.
 
20.     Presiding Member
 
20.1      The President, or in the President’s absence, an elected member of the Committee, shall preside as chairperson at each general meeting of Football Wagga Wagga.
20.2      If the President and the elected member of the Committee are absent from the general meeting or unwilling to act, the members present shall elect one of their number to preside as chairperson at that meeting.
 
21.     Adjournment
 
21.1      The chairperson of a general meeting at which a quorum is present may, with the consent of the majority of members present at the meeting, adjourn the meeting from time to time and place to place, but no business shall be transacted at an adjourned meeting other than the business left unfinished at the meeting at which the adjournment took place.
21.2      Where a general meeting is adjourned for 14 days or more, the committee shall give written or oral notice of the adjourned meeting to each member of Football Wagga Wagga, stating the place, date and time of the meeting and the nature of the business to be transacted at the meeting.
21.3      Except as provided in clause (1) and clause (2), notice of an adjournment of a general meeting or of the business to be transacted at an adjourned meeting is not required to be given.
 
 
22.     Making of Decisions
 
22.1   A question at a general meeting of Football Wagga Wagga shall be determined by a show of hands, and unless before, or on the declaration of the show of hands, a poll is demanded, a declaration by the chairperson that a resolution has, by a show of hands, been carried or carried unanimously or carried by a particular majority or lost, or an entry to that effect in the minute book of Football Wagga Wagga, is evidence of the fact without proof of the number or proportion of the votes recorded in favour of, or against, that resolution.
22.2      At a general meeting of Football Wagga Wagga, a poll may be demanded by the chairperson, or by not less than three (3) members present in person.
22.3   Where a poll is demanded at a general meeting, the poll shall be taken:
(a)     immediately in the case of a poll which relates to the election of the chairperson of the meeting or to the question of an adjournment; or
(b)     in any other case, in such manner and such time before the close of the meeting as the chairperson directs.
(c)     The resolution of the poll on the matter shall be deemed to be the resolution of the meeting on that matter.
 
23.     Special Resolution
 
         A resolution of Football Wagga Wagga is a special resolution if:
(a)     it is passed by a majority which comprises not less than three-quarters of such members of Football Wagga Wagga as, being entitled under these rules so to do, vote in person at a general meeting of which not less than twenty one (21) days written notice, specifying the intention to propose the resolution as a special resolution, was given in accordance with these rules; or
(b)     where it is made to appear to the Commission that it is not possible or practicable for the resolution to be passed in the manner specified in paragraph (a), the resolution is passed in a manner specified by the Commission.
 
 
24.     Voting
 
24.1      Upon any question arising at a general meeting of Football Wagga Wagga, a member has one vote only.
24.2   All votes shall be given personally.
24.3   In the case of an equality of votes on a question at a general meeting, the chairperson of the meeting is entitled to exercise a second or casting vote.
24.4   A member is not entitled to vote at any general meeting of Football Wagga Wagga unless all money due and payable by the member to Football Wagga Wagga has been paid, other than the amount of the annual subscription payable in respect of the then current year.
 
25.     Insurance
 
25.1   Football Wagga Wagga shall effect and maintain insurance pursuant to section 44 of the Act.
25.2   In addition to the insurance required under clause (1), Football Wagga Wagga may effect and maintain other insurances.
 
 
26.     Funds - Source
 
26.1      The funds of Football Wagga Wagga shall be derived from entrance fees and annual subscriptions of members, donations, and subject to any resolution by Football Wagga Wagga in general meeting, such other sources as the committee determines.
26.2      All money received by Football Wagga Wagga shall be deposited as soon as practicable and without deduction to the credit of Football Wagga Wagga’s bank account.
26.3      Football Wagga Wagga shall, as soon as practicable after receiving any money, issue an appropriate receipt.
 
 
27.     Funds - Management
Subject to any resolution passed by Football Wagga Wagga in general meeting, the funds of Football Wagga Wagga shall be used in pursuance of the objects of Football Wagga Wagga in such manner as the committee determines.
 
28.     Auditors
 
All books and records relating to the financial position and dealings of Football Wagga Wagga shall be subject to audit at any time at the discretion of the executive committee, and in any case, prior to the annual general meeting. The audit will be conducted by a qualified accountant appointed by the executive committee, and such audit is to satisfy any and all requirements of the Association Incorporation Act.
 
29.     Bank Authority
 
29.1      Any two (2) members of the executive committee, being members authorised by the committee, shall sign all cheques issued by football Wagga Wagga.
29.2      Signatories to Football Wagga Wagga’s bank or other deposits as maintained by Football Wagga Wagga must register their signatures with the bank or other institution:
(a)     immediately upon election to any, or re-election to any, of the positions in clause (1); or
(b)     upon any casual vacancy occurring within the position in clause (1), as soon as such casual vacancy has been filled.
 
 
30.     Alteration of Objects and Rules
 
The statement of objects and these rules may be altered, rescinded or added to only by a special resolution of Football Wagga Wagga.
 
31.     Common Seal
 
31.1   The common seal of Football Wagga Wagga shall be kept in the custody of the Public Officer.
31.2   The common seal shall not be affixed to any instrument except by the authority of the committee and the affixing of the common seal shall be attested by the signatures either of two (2) members of the committee or of one (1) member of the committee and of the Public Officer.
 
32.     Custody of Books Etc.
 
Except as otherwise provided by these rules, the Public Officer shall keep in his or her custody, or under his or her control, all records, books and other documents relating to Football Wagga Wagga.
 
  
33.     Service of Notices
 
33.1   For the purpose of these rules, a notice may be served on or given to a person:
(a)     by delivering it to the person personally, or
(b)     by sending it by pre-paid post to the address of the person, or
(c)     by sending it by facsimile transmission or some other form of electronic transmission to the member at an address specified by the person for giving or serving the notice.
33.2      For the purpose of these rules, a notice is taken, unless the contrary is proved, to have been given or served:
(a)     in the case of a notice given or served personally, on the date on which it is received by the addressee, and
(b)     in the case of a notice sent by pre-paid post, on the date on which it is received by the addressee, and
(c)     in the case of a notice sent by facsimile transmission or some other form of electronic transmission, on the date it was sent, or if the machine from which the transmission was sent produces a report indicating that the notice was sent on a later date, on that date.
 
 
34.     Inspection of Books etc
 
The records, books and other documents of Football Wagga Wagga shall be open to inspection, free of charge, by a member of Football Wagga Wagga at any reasonable hour.
 
35.     Life Membership
 
35.1      Life Membership of Football Wagga Wagga may be conferred upon any person who, in the opinion of Football Wagga Wagga, has rendered not less than ten (10) years outstanding service to the code of football within the Wagga Wagga and District Association.
35.2      To be eligible for Life Membership, the person must be nominated and seconded by a member of Football Wagga Wagga.
35.3      The nomination shall be forwarded to Football Wagga Wagga for acceptance, and if accepted, it shall be referred as a notice of motion to the next annual general meeting for approval of Life Membership.
35.4      Such Life Member shall have all rights and privileges of an ordinary member, but shall be relieved of the obligation to pay annual subscription.
35.5       All persons who at the date of the resolution adopting these Articles were Life Members of Wagga Wagga & District Amateur Football Association shall be thereafter Life Members of Wagga Wagga & District Amateur Football Association.
 
 
36.     Jurisdiction
 
36.1      The jurisdiction of Football Wagga Wagga shall extend to all committees, clubs, teams, grounds (fields), matches, coaches, players, club officials, delegates, parents, members, spectators and all other persons within it’s control.
36.2      Football Wagga Wagga has the right to fine any person or body under its jurisdiction.
 
37.     Correspondence to Football Wagga Wagga
 
All Correspondence from clubs must be written on the club’s official letterhead, signed by a club official and addressed to Football Wagga Wagga. If this is not complied with, the correspondence will not be acted upon.
 
 
38.     Affiliation of New Clubs
 
38.1      Any organization may apply for affiliation as a club.
38.2      Where an application for affiliation has been dismissed, the organization concerned has the right of appeal, (to Football Wagga Wagga in the first instance) and must do so within 21 days to Football Wagga Wagga with a payment of $50.
38.3      If the appeal to Football Wagga Wagga is unsuccessful, the organization has the right of appeal to Riverina Branch, subject to Riverina Branch rules and regulations.
         38.4   Each club, on applying for affiliation, will supply the proposed club name, colours,    design of strip, names addresses and phone numbers of club committee, the nominated club contact, constitution, proof of incorporation and proposed home training ground.
38.5 Each successful club will then be furnished with a copy of Football Wagga Wagga’s competition rules and Articles of Association.
 
39.     Affiliation of Existing Clubs
 
         (a) In order to be affiliated with Football Wagga Wagga each calendar year, each club must provide in the January prior to the commencement of the competition, the club colours, design of strip, and proposed home training ground.
         Current constitution and any other changes that may have occurred to the requirements of Rule 38.4.
 
(b) Each club must provide a Copy of Annual return, copy of receipt for submission of Annual return to the dept. of fair trading, profit and loss statement in the January prior to the commencement of the competition or a month after the clubs Annual General Meeting, which ever is first.
 
         (c) Each club must provide names addresses and phone numbers of club committee, the nominated club contact, in the January prior to the commencement of the competition or fourteen days after the clubs Annual General Meeting, which ever is first.
 
 
40.     Provisions Required by Football New South Wales
 
40.1      Wagga Wagga & District Amateur Football Association Inc shall at all times be bound by the Constitution, Rules and Regulations of Football New South Wales Limited;
40.2      Where there is any inconsistency between any provision of the Constitution and or Rules and Regulations of Wagga Wagga & District Amateur Football Association and those of Football New South Wales Limited, then to the extent of such inconsistency the Constitution Rules and Regulations of Football New South Wales Limited shall prevail;
40.3      Wagga Wagga & District Amateur Football Association Inc shall be bound by the lawful decisions of the Board of Football New South Wales and shall do all things reasonably necessary to implement and enforce such decisions.
